STANDARD TERMS AND CONDITIONS OF SALE

1. General Provisions

  • The client waives its own standard terms, even if they are issued after the present standard sales terms.
  • Any waiver shall only be valid if previously agreed upon in writing between the parties.

2. Payment Terms

  • All invoices must be paid within 21 working days, unless another payment period is specified on the invoice or the purchase order.
  • In case of non-payment by the due date, Has Solo Unlu Mamülleri A.Ş. reserves the right to charge a fixed late interest of 10% of the outstanding balance.
  • In the event of late payment, Has Solo Unlu Mamülleri A.Ş. may suspend service provision without prior notice.

3. Debt Recovery

  • If payment remains outstanding more than 60 days after the due date, Has Solo Unlu Mamülleri A.Ş. reserves the right to engage a debt recovery agency.
  • All legal and recovery costs shall be borne by the client.

4. Withholding Taxes

  • Certain countries may apply withholding taxes at source in accordance with their domestic legislation.
  • Such withholding taxes shall be paid directly by the client to the relevant tax authorities.
  • Has Solo Unlu Mamülleri A.Ş. shall not, under any circumstances, be responsible for these costs.
  • The full invoice amount remains due and payable to Has Solo Unlu Mamülleri A.Ş. without deductions.

5. Service Provision

  • Has Solo Unlu Mamülleri A.Ş. commits to providing services in a timely and professional manner, in line with agreed schedules.
  • However, such obligations are best-effort obligations and not obligations to achieve a result.
  • Under no circumstances shall Has Solo Unlu Mamülleri A.Ş. be compelled to act as a third party in any claim for damages brought against the client by an end consumer.

6. Claims

  • Any claim must be notified to Has Solo Unlu Mamülleri A.Ş. by registered letter sent to its registered office within 8 days following the delivery of goods or provision of services.
  • Claims submitted after this period shall not be admissible.

7. Governing Law

  • All contractual relations are governed exclusively by the laws of the Republic of Türkiye.
